Welcome to Prizely. These Terms of Service ("Terms") govern your access to and use of the Prizely website, mobile application, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Eligibility
You must be at least 13 years old to use our Services. If you are under 18 years old, you must have permission from a parent or legal guardian to use our Services and they must agree to these Terms on your behalf.
Certain rewards may have age restrictions (e.g., 18+ for specific gift cards). You may only redeem rewards for which you meet the eligibility requirements.
Our Services are available in most countries worldwide, but certain features, offers, or rewards may be restricted in some regions due to legal or operational constraints.
2. Account Registration
To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms or if we suspect fraudulent or abusive activity.
3. Points System and Rewards
Prizely operates a points-based reward system. Users can earn points by participating in various activities, including but not limited to playing games, completing offers, participating in surveys, and watching videos.
Points have no cash value and cannot be purchased, sold, transferred, or redeemed for cash. Points can only be redeemed for rewards offered through our Services.
Points expire after 12 months of account inactivity. Activity is defined as earning points or redeeming rewards.
We reserve the right to adjust point values, change the activities through which points can be earned, modify reward values, and alter the redemption process at any time without prior notice.
4. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Using our Services for any illegal purpose or in violation of any local, state, national, or international law
- Using automated scripts, bots, or other technological means to earn points
- Creating multiple accounts to earn additional points
- Falsifying information when completing offers or surveys
- Selling, trading, or transferring points or rewards
- Attempting to manipulate or exploit the Services or any bugs or vulnerabilities in the system
- Interfering with, disrupting, or creating an undue burden on the Services
- Accessing or attempting to access another user's account
- Impersonating another person or entity
- Using VPNs or other location-masking technologies to circumvent geographical restrictions
5. Intellectual Property
Our Services and all content and materials made available through them, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Prizely or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes.
You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms.
6. Third-Party Links and Content
Our Services may contain links to third-party websites, offers, games, or services that are not owned or controlled by Prizely. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
By using our Services, you expressly relieve Prizely from any and all liability arising from your use of any third-party website or service.
When completing offers from third-party advertisers, you may be subject to the terms and conditions and privacy policies of those third parties. It is your responsibility to read and understand those terms before participating.
7. Disclaimer of Warranties
YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
PRIZELY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PRIZELY MAKES NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.
8. Limitation of Liability
IN NO EVENT SHALL PRIZELY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
9. Indemnification
You agree to defend, indemnify, and hold harmless Prizely, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content or actions caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.
10. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Services or delete your account through the account settings.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
